Terms of Service

Welcome to Sgen AI ("Platform", "Services"). The Platform is owned and operated by Sgen AI's corporate legal entity registered in Malaysia. By registering an account, purchasing credits, subscribing to billing plans, or linking third-party accounts, you agree to be legally bound by these Terms of Service.

1. User Eligibility and Accounts

You must be at least 18 years of age or represent a legally registered corporate business entity in Malaysia or abroad to register. You agree to provide accurate registration information and accept sole responsibility for maintaining credential confidentiality.

2. Permitted Use and Scraping Limitations

Sgen AI allows users to parse product links from e-commerce stores (including Shopee, Lazada, and websites) to extract marketing information. You warrant that:

• You hold the legal right, authorization, or ownership of the product link content submitted.
• You will not use our Platform to maliciously scrape copyright protected visual media, private profiles, or competitor assets to engage in intellectual property piracy.
• You will not execute distributed denial-of-service (DDoS) requests or stress-test Sgen AI scraping nodes.

3. Subscription Plans, Credits, and Refund Policy

• Subscription Billing: Pro plans are billed recurring monthly (RM 129). Superb plans are billed yearly (RM 1,499). All payments are final and processed via online banking (FPX) or digital wallets.
• Free Plan Limitations: The Free plan is limited to exactly four (4) generations over the lifetime of the account, does not grant access to the AI Video Studio, and prevents the publishing of landing pages (draft editor only).
• Credits Expiration: Allowance credits are reset monthly or yearly based on your active tier. Unused credits do not roll over to the subsequent billing cycle.
• Strict No-Refund Policy: Due to immediate server costs incurred from third-party LLMs and generation nodes upon execution, Sgen AI enforces a strict no-refund policy for subscription payments and credits.

4. Disclaimer of AI Content Accuracy & Ownership

Sgen AI operates as an automated facilitator. We utilize external AI generators to formulate marketing outputs. Sgen AI makes no representations, warranties, or guarantees concerning the spelling correctness, copywriting appropriateness, legal compliance, or conversion rate performance of any AI-generated ad post, landing page layout, script, or image. You bear the absolute responsibility to audit, proofread, and verify all output content. Sgen AI holds no ownership claim over outputs generated by your prompts; you assume full ownership and the associated legal risks of publishing those outputs.

5. Meta Ads Autopilot Risk Indemnification

Sgen AI offers an automated Ad Manager tool that syncs with your Meta Ads Manager accounts to monitor campaign metrics and automatically adjust budgets, bids, or statuses. By activating these automation systems, you explicitly understand and accept that:

• Algorithmic bidding and budget shifts carry financial risks.
• Sgen AI is NOT liable for any Meta account suspensions, banned business managers, advertising credit losses, or accidental overspending caused by API connection drops, Meta API algorithm shifts, or automation rules.
• You must monitor your Meta billing logs independently. Sgen AI's liability is capped at RM 0.00 for third-party advertising bills.

6. WhatsApp Broadcast and Anti-Spam Policy

Your connection and use of our WhatsApp AI CRM must strictly comply with Meta's official Business Terms and WhatsApp's Anti-Spam Guidelines. You agree not to use the automated follow-up CRM to send unsolicited spam, mass marketing blasts, or inappropriate messages. Sgen AI is not responsible for WhatsApp account bans, telephone number blocks, or legal penalties resulting from spam practices.

7. Landing Page Hosting and VPS Boundaries

We provide landing page creation and custom domain mapping. Under the Free plan, pages can only be drafted. In Pro and Superb plans, pages can be hosted on our shared architecture or dedicated instances. We do not guarantee 100% server uptime. Sgen AI is not liable for revenue lost due to page latency, server outages, or DNS lookup failures.

8. Intellectual Property (IP) Indemnity

You agree to indemnify, defend, and hold harmless Sgen AI, its officers, employees, and parent corporations against any claims, actions, damages, liabilities, or expenses (including legal fees) arising from: (a) copyright or trademark infringements related to Shopee/Lazada URLs you submitted, (b) ad campaigns published using our templates, and (c) any violation of third-party platforms' terms.

9. Terminations

We reserve the absolute right to suspend, terminate, or delete your account immediately without prior warning if you violate these terms, engage in copyright piracy, abuse server resources, or default on subscription payments.

10. Jurisdiction

These Terms of Service are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from these terms shall be submitted to the exclusive jurisdiction of the courts of Malaysia.
